These Terms of Use ("Terms") form a binding agreement between you ("Customer," "you") and FirstSign ("FirstSign," "we," "us") governing your access to and use of the FirstSign document-signing platform, including our website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
FirstSign provides a platform for creating, sending, signing, and managing electronic documents, including tools for templates, authentication (including passkeys and WebAuthn), and an API for integrating signing workflows into third-party applications.
We may offer a free trial period (currently 30 days) on eligible plans. At the end of the trial, your account will convert to a paid subscription at the then-current rate for your selected plan unless you cancel before the trial ends. We may modify or discontinue free trial offers at any time.
You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
You agree not to use the Service to: violate any law or third-party right; upload malicious code; attempt to gain unauthorized access to the Service or other accounts; reverse engineer the Service except as permitted by law; or use the Service to send documents that are fraudulent, deceptive, or that you do not have the legal right to send for signature.
The Service enables electronic signatures intended to comply with applicable electronic signature laws (such as the U.S. ESIGN Act and UETA, and comparable laws elsewhere). You are responsible for determining whether electronic signatures are appropriate and enforceable for your specific use case and jurisdiction. FirstSign does not provide legal advice about the enforceability of any particular document.
FirstSign and its licensors retain all right, title, and interest in and to the Service, including all related intellectual property. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.
As between you and FirstSign, you own the documents and data you upload or generate through the Service ("Customer Data"). We will use Customer Data only to provide and improve the Service, in accordance with our Privacy Policy, and will not disclose it except as permitted there or required by law.
You may cancel your subscription at any time from your account settings or by contacting us. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately in cases of suspected fraud, abuse, or security risk.
The Service is provided "as is" and "as available." To the fullest extent permitted by law, FirstSign disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, FirstSign will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to these Terms or the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.
You agree to indemnify and hold FirstSign harmless from claims, damages, and expenses arising from your use of the Service in violation of these Terms or applicable law.
These Terms are governed by the laws of [Your State/Country], without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in [Your Jurisdiction], unless otherwise required by applicable law.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
